Terms of Service

1. Acceptance of Terms

By accessing or using TekAxis ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms apply to all users, including consumers, partners, and visitors.

2. Description of Service

TekAxis is an AI-powered technology procurement platform that matches businesses ("Consumers") with technology service providers and suppliers. TekAxis facilitates introductions and recommendations but is not itself a technology service provider. TekAxis does not guarantee the performance, quality, or availability of any matched supplier.

3. Eligibility

You must be at least 18 years old and have the authority to enter into agreements on behalf of any business you represent. By using the Platform, you represent that you meet these requirements.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify TekAxis immediately of any unauthorized access. TekAxis is not liable for any loss resulting from unauthorized use of your account.

5. Consumer Use

Consumers may submit technology needs through the Platform's intake process. TekAxis will use AI-assisted matching to suggest suitable suppliers. These recommendations are provided for informational purposes only. TekAxis does not guarantee that any recommended supplier will meet your specific requirements. Final procurement decisions are solely the Consumer's responsibility.

6. Partner Program

Partners who refer clients to TekAxis are subject to the separate Partner Agreement accepted during onboarding. Commission rates, payment schedules, and tier requirements are governed by that agreement. TekAxis reserves the right to adjust commission structures with 30 days written notice. Partners may not make representations about TekAxis's services beyond what is provided in official marketing materials.

7. Prohibited Conduct

You agree not to: (a) use the Platform for any unlawful purpose; (b) submit false or misleading information; (c) attempt to reverse engineer or compromise the Platform's systems; (d) scrape, harvest, or systematically extract data; (e) use the Platform to spam or solicit other users; (f) misrepresent your affiliation with any business or organization.

8. Intellectual Property

All content, features, and functionality of the Platform — including but not limited to text, graphics, logos, and AI-generated recommendations — are owned by TekAxis and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without express written permission.

9. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. TekAxis does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or harmful components.

10. Limitation of Liability

To the maximum extent permitted by law, TekAxis shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, data loss, or business interruption — arising from your use of or inability to use the Platform, even if TekAxis has been advised of the possibility of such damages. TekAxis's total liability for any claim shall not exceed the amount paid by you to TekAxis in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless TekAxis, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

TekAxis may suspend or terminate your account at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, and limitations of liability.

13. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding arbitration, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

14. Changes to Terms

TekAxis reserves the right to update these Terms at any time. We will notify registered users of material changes by email or by posting a notice on the Platform. Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
